Terms of Service

These terms govern your use of the Nexology website (nexology.co.uk) and the Nexology Aesthetic AI Shopify application (the “Service”). By using our website or installing the Service, you agree to these terms. If you do not agree, please do not use our website or install the Service.
“We”, “our”, and “Nexology” refer to Nexology Ltd, a company registered in England and Wales. “You” and “your” refer to you, the person or entity using our website or Service.
1. What the Service provides
Nexology Aesthetic AI is a Shopify app that provides AI-powered product search, visual recommendations, and search analytics for fashion and lifestyle stores.
The Service includes:
- Semantic search and product discovery on your storefront.
- Visual similarity recommendations (“Similar Vibe”) on product pages.
- Search analytics reporting (top queries, zero-results, click-through rates).
- Product visibility and synonym configuration tools.
The Service does not guarantee specific sales outcomes, conversion rates, or revenue uplift. Search results and recommendations are generated by AI models and may not always match your expectations. You can adjust results using the merchandising controls provided.
2. Eligibility
The Service is available to Shopify merchants with active stores. By installing the Service, you confirm that you have the authority to accept these terms on behalf of your business and that your use of the Service complies with Shopify's terms of service and partner programme terms.
3. Your account and access
When you install the Service, you grant Nexology access to your Shopify store via Shopify's OAuth authentication system. This access is limited to the permissions required to provide the Service (product catalogue, app proxy, app billing).
You are responsible for the security of your Shopify account. If you become aware of any unauthorised use of your account or any security breach affecting the Service, please contact us immediately at hello@nexology.co.uk.
4. Data ownership
Your data is yours.
- Your product catalogue data (titles, descriptions, images, prices, tags) remains your property at all times.
- Shopper interaction data (search queries, clicks, impressions) collected through the Service is your data. Nexology processes it on your behalf as a data processor.
- Nexology has a limited licence to process your data solely for the purpose of providing the Service to you. This licence ends when you uninstall the app.
Nexology will not:
- Sell your data to third parties.
- Share your data with other merchants.
- Use your data to train models for the benefit of other merchants without your separate written consent.
Full details of how we handle data are set out in our Privacy Policy and in the Data Processing Agreement provided to you before installation.
5. Pricing and billing
Billing is handled through the Shopify App Billing API. When you install the Service, you will be asked to approve a recurring charge through Shopify.
- Founding Partner rate: $49 per month, with a 14-day free trial.
- All prices exclude VAT, which will be applied where required by law.
- Shopify collects payment and remits to Nexology, minus Shopify's commission.
We may introduce new pricing tiers in the future. Any change to your existing charge requires your explicit approval through Shopify. We will not increase your rate without your consent.
6. Free trial
The Service includes a 14-day free trial. You will not be charged during the trial period. If you do not cancel before the trial ends, Shopify will begin billing at the approved rate.
You may cancel at any time during the trial by uninstalling the app from your Shopify admin. No payment details are required beyond what Shopify already holds.
7. Cancellation
You may cancel the Service at any time by uninstalling the app from your Shopify admin. There are no cancellation fees, notice periods, or lock-in contracts.
On cancellation:
- Your Shopify access token is deleted immediately.
- Your configuration data (product visibility rules, synonyms) and product embeddings are retained for 48 hours to enable fast reinstall, then permanently deleted.
- Your shopper interaction data (search queries, clicks) is deleted within 30 days.
- Infrastructure logs containing incidental request metadata expire automatically after 90 days.

8. Acceptable use
You agree not to:
- Use the Service for any purpose that is unlawful or prohibited by these terms.
- Attempt to reverse-engineer, decompile, or extract the underlying AI models, algorithms, or source code of the Service.
- Interfere with or disrupt the Service or its infrastructure.
- Use the Service to process data that you do not have the right to process.
- Resell, sublicence, or provide the Service to third parties.
We reserve the right to suspend or terminate your access if you breach these terms.
9. Intellectual property
Nexology's technology, AI models, algorithms, software, and documentation remain the intellectual property of Nexology Ltd. Nothing in these terms grants you any rights to our intellectual property beyond the right to use the Service as described.
Your content — product data, images, descriptions, and any other materials you provide — remains your intellectual property. You grant Nexology a limited, non-exclusive licence to process your content for the purpose of providing the Service. This licence ends when you uninstall the app and your data is deleted.
10. Privacy and data protection
We take data protection seriously. Our Privacy Policy explains what personal data we collect and how we use it.
If you are a merchant using the Service, our processing of shopper personal data on your behalf is governed by our Data Processing Agreement (DPA). The DPA is incorporated by reference into these Terms of Service and forms an integral part of our agreement with you. The DPA sets out our obligations as a data processor under UK data protection law, including data security, breach notification, sub-processors, and deletion on termination.
11. Service availability and beta
The Service is currently in beta. While we work to keep the Service available and reliable, we do not offer uptime guarantees or service level agreements at this stage.
We may update, modify, or temporarily suspend the Service for maintenance, improvements, or to address issues. Where possible, we will give you advance notice of planned downtime.
We reserve the right to discontinue the Service. If we do, we will give you at least 30 days' notice and delete your data in accordance with the Data Processing Agreement.
12. Limitation of liability
To the fullest extent permitted by the laws of England and Wales:
- The Service is provided “as is” without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement.
- Nexology shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, revenue, data, or business opportunity.
- Nexology's total aggregate liability to you for any claims arising from or related to the Service shall not exceed the total fees you have paid to Nexology in the 12 months preceding the claim.
Nothing in these terms excludes or limits liability for death or personal injury caused by negligence, fraud, or any other liability that cannot be excluded or limited by law.
13. Changes to these terms
We may update these terms from time to time. Changes will be published on this page with an updated date. If you are a merchant with an active subscription, we will notify you of material changes by email at least 14 days before they take effect.
Your continued use of the Service after changes take effect constitutes acceptance of the revised terms. If you do not agree to the changes, you may cancel the Service by uninstalling the app.
14. Governing law
These terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising from these terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts of England and Wales.
